Terms & Conditions

The terms governing your use of Soft Bridge websites, client portals, Business OS platforms, subscriptions and services.

1. Acceptance of Terms

By accessing the Soft Bridge website, client portal, software platforms, services, subscriptions or any digital product provided by Soft Bridge FZE LLC ("Soft Bridge", "we", "us" or "our"), you agree to be bound by these Terms & Conditions.

If you do not agree to these terms, you should not access or use our services.

2. Services

Soft Bridge provides:

  • Business OS platforms
  • CRM systems
  • Booking systems
  • Client portals
  • AI automation solutions
  • Websites
  • Marketing systems
  • Custom development
  • Consulting services
  • Technical support

Services may evolve, be updated, expanded or discontinued over time as our offering develops.

3. Client Accounts

Clients are responsible for:

  • Providing accurate and complete information
  • Maintaining ongoing access to their registered email account
  • Protecting their OTP login access
  • Keeping account details up to date

Soft Bridge may suspend or restrict access in cases of misuse, fraud, abuse or non-payment.

4. Payments

Payments are processed securely through Stripe and other approved payment providers. By purchasing a service or subscription, you authorize the applicable payment charges, including any recurring charges where stated.

Failure to pay any due amount may result in suspension or termination of services without further notice.

5. Subscriptions

Subscription plans renew automatically at the end of each billing period unless cancelled in advance.

Platform access remains active for the duration of the subscription. If a subscription is cancelled or not renewed, access to the hosted platform and related services ends at the end of the current billing period.

Customers may cancel future renewals at any time through their client portal or by contacting support. Cancellation prevents future billing but does not entitle the customer to a refund for previous payments or unused portions of the current billing period.

6. Client Portal Access

Access to the Soft Bridge client portal is provided through secure email-based one-time password (OTP) verification.

Portal access may be restricted or revoked if:

  • A subscription expires
  • A payment fails or is reversed
  • Abuse, fraud or misuse is detected
  • Services are terminated for any reason

7. Custom Development & Ownership

Every Soft Bridge platform is custom-built and configured for the client. For custom websites, portals, integrations and software development projects:

  • Custom work begins after order confirmation and payment
  • All timelines provided are estimates, not guarantees
  • Delivery timelines vary based on project scope and customization requirements
  • Active client cooperation, feedback and approvals are required
  • Delays caused by missing or late client information, decisions, content or approvals are not the responsibility of Soft Bridge

Own Your Platform: For one-time ownership purchases, ownership of the delivered source code, database, website and portal is transferred to the client after full payment and successful project completion. Until then, all materials remain the property of Soft Bridge.

Custom development remains subject to the specific project scope, proposal or statement of work agreed between the client and Soft Bridge.

Ownership Upgrade Program

Subscription customers may, at any time, choose to purchase full ownership of their platform. Ownership pricing starts from AED 8,999 and may vary based on project complexity and custom development requirements.

Subscription credit: Up to 50% of eligible subscription payments made within the twelve (12) months preceding the ownership request may be credited toward the ownership fee. Credit is applied at Soft Bridge's discretion and does not include amounts allocated to hosting, infrastructure, security, maintenance, updates or technical support.

Upon successful ownership transfer, the client receives the source code, database, website files, business platform, client portal, documentation, branding assets and deployment files for the agreed scope. Ownership transfer is completed only after full payment and project handover. Any existing hosting, support or managed services are not included with ownership transfer and may be contracted separately.

8. Intellectual Property

All software, source code, designs, branding, systems, content, methodologies and technology developed, owned or licensed by Soft Bridge remain the exclusive property of Soft Bridge, unless otherwise agreed in writing.

Clients retain ownership of their own business data submitted to or generated within our platforms.

9. Acceptable Use

Clients and users must not:

  • Attempt unauthorized access to any part of our systems
  • Upload, distribute or transmit malware or harmful code
  • Abuse platform resources or attempt to overload services
  • Violate any applicable laws, regulations or third-party rights
  • Interfere with the normal operation of the platform or other users

Violations may result in immediate suspension or termination of services without refund.

10. Third-Party Services

Soft Bridge integrates with selected third-party providers, including:

  • Stripe
  • Resend
  • Hosting providers
  • Analytics providers
  • Communication platforms

Soft Bridge is not responsible for outages, downtime, failures, pricing changes or data incidents originating from third-party providers outside of our reasonable control.

11. Service Availability

While Soft Bridge aims for high availability across all services, uninterrupted access cannot be guaranteed. Scheduled maintenance, system upgrades, security updates or third-party outages may temporarily affect service availability.

Where possible, we will provide reasonable advance notice of planned downtime.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Soft Bridge shall not be liable for:

  • Indirect, incidental, special or consequential damages
  • Lost profits or anticipated savings
  • Lost business opportunities or goodwill
  • Data loss caused by third-party providers or force majeure
  • Service interruptions or delays beyond our reasonable control

In any event, Soft Bridge's total aggregate liability arising from or related to the services shall not exceed the total amount paid by the client to Soft Bridge during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Termination

Soft Bridge may suspend or terminate any service, account or access at its discretion if:

  • Payments are overdue or repeatedly fail
  • These Terms are violated
  • Fraudulent activity is detected
  • Abuse, harassment or harmful behavior occurs

Termination does not relieve the client of any outstanding payment obligations.

14. Privacy

Use of our services is also governed by our Privacy Policy, which explains how we collect, use and protect personal information.

15. Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the United Arab Emirates.

Any disputes, claims or proceedings arising out of or in connection with these Terms or our services shall be subject to the exclusive jurisdiction of the competent UAE courts.

16. Changes to Terms

Soft Bridge may update these Terms & Conditions from time to time to reflect changes in our services, technology, legal requirements or business practices.

The "Last Updated" date at the top of this page reflects the latest revision. Continued use of our services after an update constitutes acceptance of the revised terms.
